    Job Title: Senior Associate – Carve-Out, M&A, & Standalone Advisory (Contract)


    1. Client: Large Public Accounting Firm
    2. Contract Length: Approximately 4 months
    3. Work Arrangement: 100% Remote
    4. Compensation: $85–$110/hour (W2)
    5. Start Date: Immediate / As available


    As a Value Creation Senior Associate, you will focus on carve-out and standalone transaction engagements, helping clients navigate complex separations, establish independent operating models, and execute Transition Service Agreements (TSAs). This contract role is centered on supporting buy-side and sell-side M&A transactions where operational separation, Day 1 readiness, and value preservation are critical to success.


    Key Responsibilities

    Standalone Assessment & Operational Separation

    1. Support the development of standalone operating models across Finance, IT, HR, Supply Chain, Procurement, and Commercial functions.
    2. Assess operational interdependencies between parent and carved-out entities to define separation requirements and risks.
    3. Help design future-state processes, governance structures, and organizational models required for standalone readiness.
    4. Contribute to Day 1 readiness and cut-over planning to ensure a smooth transition.

    Transition Service Agreements (TSA) Development & Management

    1. Support development of TSA schedules, service definitions, pricing assumptions, and exit timelines.
    2. Assist in structuring TSA arrangements that minimize buyer dependence and reduce seller risk exposure.
    3. Prepare analyses and materials to support TSA negotiations and stakeholder discussions.
    4. Track TSA milestones, service obligations, and exit readiness activities.

    Financial & Value Creation Analysis

    1. Identify standalone costs, one-time separation costs, and stranded cost impacts resulting from divestitures.
    2. Support synergy, cost optimization, and operational improvement assessments where applicable.
    3. Build models in Microsoft Excel to evaluate financial scenarios, cost structures, and transition economics.
    4. Prepare concise, executive-level presentations summarizing findings and recommendations.

    Program Management & Execution

    1. Drive PMO activities including workplans, milestone tracking, issue logs, and stakeholder coordination.
    2. Coordinate with diligence teams across Financial Due Diligence, IT, Human Capital, and Supply Chain.
    3. Deliver high-quality work products while managing multiple priorities in a deadline-driven environment.

    Qualifications

    1. Bachelor’s degree in Accounting, Finance, Business, or related field required; MBA preferred.
    2. 3–5 years of experience in management consulting, M&A advisory, transaction services, corporate development, or transformation.
    3. Prior experience supporting carve-outs, standalone planning, TSA development, or separation management strongly preferred.
    4. Strong Microsoft Excel / modeling skills with exceptional attention to operational detail.
    5. Excellent communication, stakeholder management, and remote collaboration skills.
    6. Ability to thrive in fast-paced, project-based environments.
